- Residential project: Drafted and negotiated agreements to build out and manage a high end condominium development in Northern Michigan, including bylaws for the holding company, agreements with a builder, architect and property manager, consent resolutions, purchase agreements and indemnity agreements.
- Publisher sale: Negotiated and closed the sale of a small publishing company to strategic buyer. Representation involved drafting asset purchase agreement, seller’s organizational minutes and resolutions, and other documents.
- LLC restructuring: Drafted complex and revised operating agreements for limited liability companies necessitated by creditor workout for the protection of the LLC and its members.
